1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, software, digital tools, credits, subscriptions, and related services provided by Huxi Digital ("Huxi Digital," "we," "us," or "our").

By accessing or using our services, creating an account, or purchasing a plan, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use our services. If you use the services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate, complete, and current account information.

3. Services and Credits

Huxi Digital provides SaaS-based digital tools that may use credits to access selected product features. Credits may be used only within the services and have no cash value. Credits are not transferable, exchangeable, or redeemable for money unless required by applicable law.

4. Subscriptions and Payments

We offer paid access through one-time credit purchases and recurring subscription plans. Current available plans include:

• Starter Pack: a one-time payment of $4.99, including 20 credits.
• Pro Plan: a monthly subscription of $19.00/month, including 150 credits per month.
• Growth Plan: a monthly subscription of $49.00/month, including 500 credits per month.

All payments are processed through our authorized payment provider, Paddle, which acts as Merchant of Record for applicable purchases. By purchasing a paid plan, you agree that Paddle may process your payment, manage billing, collect applicable taxes, issue receipts and invoices, and handle payment-related compliance.

Your bank statement, card statement, invoice, receipt, or billing record may show Paddle, Paddle.net, or a similar Paddle-related descriptor instead of, or in addition to, Huxi Digital.

Subscription plans renew automatically each month unless canceled before the next billing date. Prices are listed in U.S. dollars unless otherwise stated. Taxes, VAT, GST, duties, or similar charges may be added where required by law and calculated at checkout.

5. Cancellations and Refunds

You may cancel a subscription through your account settings, Paddle customer support, or by contacting us. Cancellation stops future renewal charges, but you may continue to access paid features until the end of the current billing period unless otherwise stated.

Refunds are handled according to our Refund Policy and applicable law. Our Refund Policy is available at /refund.

6. Acceptable Use

You agree not to use the services to:

• Violate any applicable law, regulation, or third-party right.
• Upload, generate, distribute, or store unlawful, harmful, abusive, defamatory, fraudulent, or infringing content.
• Reverse engineer, copy, modify, or create derivative works from the services except as permitted by law.
• Interfere with, disrupt, overload, or compromise the security or performance of the services.
• Use automated scraping, bots, or unauthorized data extraction tools.
• Attempt to gain unauthorized access to systems, accounts, networks, or data.
• Resell, sublicense, or commercially exploit the services without our written permission.

7. User Content

You may submit, upload, or process content through the services ("User Content"). You retain ownership of your User Content. You grant Huxi Digital a limited, worldwide, non-exclusive license to host, process, transmit, display, and use User Content solely as necessary to provide, maintain, secure, and improve the services.

You represent and warrant that you have all rights necessary to submit and use User Content with the services and that your User Content does not violate applicable law or third-party rights.

8. Intellectual Property

The services, including software, design, interfaces, workflows, branding, text, graphics, logos, documentation, and related intellectual property, are owned by Huxi Digital or its licensors. Except for the limited right to use the services under these Terms, no rights, title, or interest are transferred to you.

9. Service Availability

We aim to provide reliable access to the services, but we do not guarantee uninterrupted, error-free, or secure operation. The services may be unavailable due to maintenance, updates, system failures, network issues, third-party provider outages, security incidents, or events beyond our reasonable control.

10. Disclaimers

The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Huxi Digital disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

11. Limitation of Liability

To the maximum extent permitted by law, Huxi Digital, its owners, employees, contractors, affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, or service availability.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the services will not exceed the amount you paid for the services during the three months preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Huxi Digital from and against any claims, damages, liabilities, losses, costs, and expenses arising from your use of the services, your violation of these Terms, your User Content, or your violation of any law or third-party right.

13. Suspension and Termination

We may suspend or terminate access if you violate these Terms, payment fails or is disputed, your use creates legal, security, operational, or reputational risk, or we are required to do so by law or by a payment, infrastructure, or compliance provider.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on our website or through other reasonable means. Your continued use of the services after changes take effect means you accept the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles, unless applicable consumer protection laws require otherwise.
